Long Term Incentives For A Mobile Workforce

Background: In this presentation, Mark Petch and Phil Swinburn discuss implementing long-term incentive plans (LTIPs) for a mobile workforce that moves across borders during the vesting period. It covers common employee mobility scenarios, key tax and legal risks around permanent establishments, income tax, employment taxes, and regulatory issues. The presentation examines cross-border considerations for different LTIP structures like restricted shares, option plans, and phantom plans when employees enter or leave the UK. It highlights practical points around calculating the UK portion of taxes on mobile employees and some recent examples of issues that have arisen. The presentation was debated by the panel on "Global Share Plans", at the Esop Centre’s 2024 Share Plans Symposium on 25 April.

Mark Petch advises on a broad range of corporate tax matters including employee incentives arrangements, UK and cross-border group structuring, M&A and private equity transactions. Mark’s work includes advising: both corporates and individuals on remuneration structures and management incentive arrangements; corporate groups on their structuring and strategic tax planning; on the corporate tax aspects of structuring issues for substantial privately held groups; buyers and sellers on the tax aspects of corporate transactions (in particular, private equity transactions); and management teams of private equity backed companies, including in relation to their equity incentive arrangements. Mark is a member of the Share Plan Lawyers Group.

Philip Swinburn sits within the tax group, and advises businesses and individuals on a range of employment and personal tax matters, with a particular focus on supporting businesses with internationally mobile individuals. While his primary focus has been the financial services sector, Philip has worked with clients across a wide range of industries. He specialises in employment and mobility taxes, and works with employers and individuals to provide tax advisory and compliance services. He has experience in assisting with tax audits and negotiations with HMRC, structuring business’ remuneration and termination arrangements, employment tax and pension policy reviews, the drafting and review of employment contracts, and advising individuals about the tax implications of working across jurisdictions.
